These terms and conditions of use (“Terms of Use”) are the terms on which this website www.onearc.com and other online and mobile websites operated by OneArc, such as OneArc’s customer portal (collectively, the “Site”) are made available to you (unless a different policy is provided on a particular site, in which case such different policy shall govern and control).  Please read these Terms of Use carefully before you start to use the Site.  By accessing or using the Site, you signify that you have read, understand, and accept the Terms of Use and that you agree to be bound by the Terms of Use.  If you do not agree to the Terms of Use, please do not use the Site.  OneArc reserves the right to update the Terms of Use and any other information contained on the Site at any time without notice to you.  Such modifications shall be effective immediately.  Accordingly, please continue to review the Terms of Use whenever accessing or using the Site.  Your access or use of the Site after the posting of modifications to the Terms of Use will constitute your acceptance of the Terms of Use, as modified.  If at any time you do not wish to accept the Terms of Use, you may not access or use the Site.  Any terms and conditions proposed by you which are in addition to or which conflict with the Terms of Use are expressly rejected by OneArc and shall be of no force or effect. 

Intellectual Property

• Any material made available on the Site (including, but not limited to, all data, information, text, images, audio, and/or video material and graphics) (the “Content”) is protected by copyright and other intellectual property rights which are owned exclusively by OneArc or its affiliates or licensors.  Your use of the Site and its Content does not grant you any rights to OneArc’s intellectual property or the intellectual property of its affiliates, licensors, or third parties in the Site and its Content.

• Unless it is with the prior express written authorization of OneArc, you may not:
  • Modify, copy, reproduce, publish or republish, repost, download, broadcast, record, transmit, commercially exploit, edit, or distribute such Content in any way; or

• Frame, upload, post, or incorporate such Content in or on any other website.

• You are hereby authorized to view the Site strictly for your personal, non-commercial use.

• “Blue IG”, “Gears Studio”, “Mantle”, “OneArc”, “Pitch”, “SimOS”, “TerraTools”, “VBS”, “BattleLab”, “SceneCast”, and “FlowState” are trademarks of OneArc or its affiliates.  All other trademarks, service marks, and logos displayed on the Site are the property of their respective owners.  The use or reproduction of any of the names, trademarks, service marks, images, or logos identifying OneArc, or OneArc’s suppliers, licensors, partners, or any third parties, is strictly prohibited unless prior written permission is obtained from OneArc or the relevant third party rights owner.  Nothing contained on the Site is to be construed as granting a license to use or reproduce any of the names, trademarks, service marks, images, or logos displayed on the Site without such express prior written permission. 

User Content and User Conduct

The Site may invite you to participate in wikis, online forums, and other interactive services and may provide you with the opportunity to create, submit, post, display, transmit, perform, publish, distribute, or broadcast content and materials to OneArc and/or to or via the Site, including, without limitation, text, writings, photographs, graphics, comments, or suggestions (collectively, “User Content”).

• By transmitting or uploading User Content to OneArc and/or to or via the Site, you grant OneArc and its affiliates a perpetual, unlimited, irrevocable, royalty-free, worldwide license to: use, copy, reproduce, adapt, display, perform, modify, transmit, translate, distribute, and create derivative works of the User Content; to make, have made, offer to sell, sell, lease, or otherwise distribute any User Content; and to practice any method, embodying such User Content (including the right to sublicense any of the foregoing).

• You represent, warrant, and covenant to OneArc that you have the right, title, and/or authority to grant such license to OneArc and its affiliates. OneArc may elect not to post or publish the User Content that you send or upload. If OneArc elects to post or publish the User Content, OneArc may, in its sole discretion, elect to withdraw the posted or published information for any reason and without notice.

• You agree to use the Site (or any part of it) in accordance with all applicable laws relevant to the jurisdiction from which you access the Website.  

• As a user of the Site, you agree that your User Content, and your conduct on the Site (or any part of it) will not:

• Include profanity or any obscene, indecent, pornographic, sexual, or otherwise objectionable content or language;

• Defame, libel, ridicule, mock, disparage, threaten, harass, intimidate, or abuse anyone;

• Promote violence;

• Disparage, tarnish, or otherwise harm, in OneArc’s opinion, OneArc and/or its affiliates;

• Violate these Terms of Use or any local, state, federal, or international law, rule, or regulation or any other requirements or restrictions posted by OneArc on the Site;

• Upload or transmit, or attempt to upload or to transmit, viruses, Trojan horses or other material that interferes with any party’s uninterrupted use and enjoyment of the Site, or modifies, impairs, disrupts, alters or interferes with the use, features, functions, operation or maintenance of the Site;

• Upload or transmit, or attempt to upload or to transmit, any material that acts as a passive or active information collection or transmission mechanism, including, without limitation, clear graphics interchange formats (gifs), 1×1 pixels, web bugs, cookies, spyware, passive collection mechanisms (pcms), or other similar devices;

• Use or launch any automated system, including, without limitation, any spider, robot (or bot), scraper, or offline reader that accesses the Site, or use or launch any unauthorized script;

• Disguise or mislead as to the source(s) of your User Content or other information you submit to OneArc and/or to or via the Site; or

• Interfere with or circumvent any security feature of the Site or any feature that restricts or enforces limitations on use of or access to the Site.

Linking to the Site
 

• You are granted a limited, revocable, non-exclusive license to create a hyperlink to the home page of the Site (i.e., www.onearc.com) so long as the link does not portray OneArc, its affiliates, or its or their products or services in a false, misleading, derogatory, or otherwise offensive manner as determined by OneArc. You may not use any OneArc logo or other proprietary graphic or trademark as part of the link without OneArc’s express prior written permission.

• You may not link to the Site any website containing any inappropriate, profane, defamatory, infringing, obscene, indecent, or unlawful topic, name, material, or information that violates any applicable intellectual property, proprietary, privacy, or publicity rights, or is otherwise deemed inappropriate, as determined by OneArc in its sole discretion. The link to the Site must not damage, dilute, or tarnish the goodwill associated with any OneArc names and/or intellectual property, nor may the link create the false appearance that your website and/or organization is sponsored, endorsed by, affiliated, and/or associated with OneArc. OneArc reserves the right, in its sole discretion, to terminate a link with any website for any or no reason, including, without limitation, any website that OneArc deems to be inappropriate or inconsistent with or contradictory to the Site and/or the Terms of Use.

• You agree that your access and use of the Site is at your sole risk and acknowledge that the Site and anything contained within the Site, including, but not limited to, the Content, is provided “as is” and “as available,” and that OneArc gives no warranty of any kind, express or implied, as to the Site and the Content, including, but not limited to, warranties of merchantability, non-infringement, title, or fitness for a particular purpose or use or those arising by statute or otherwise in law from a course of dealing or usage of trade.  OneArc does not warrant or make any representations of any kind with respect to the Site, the Content, or any other feature or function of the Site, including, without limitation:
